Terms of Service

Who we are

Civitas Prima (“Civitas Prima,” “we,” or “us”) operates a private membership community in Orange County, California, together with the website and member platform at civitasprimaoc.com. By applying for membership, attending an event, buying a ticket, or using the platform, you agree to these terms.

Membership is by approval

Membership is not automatic. You submit an application, a person reviews it, and membership begins only if that application is approved. We may decline an application, and we are not obligated to explain a decision. An approved member may later be removed for the conduct reasons described below.

Some members join through a referral from an existing active member. A referral vouches for you; it does not give the referring member any authority over your account.

Your account

You are responsible for the accuracy of what you put in your profile and for anything done through your account. Sign-in links and invitations we email you are single-use and tied to you personally; do not forward them. Tell us promptly if you believe someone else has access to your account.

One person, one account. Accounts are not transferable, and you may not create an account on behalf of someone else without their knowledge.

Events, tickets, and refunds

Some gatherings are free to members; others require a ticket. Ticket prices are shown before you pay, along with any per-order service fee, and you approve the total in checkout before any charge is made. Payments are processed by Stripe; we never receive or store your full card details.

Cancelling a paid reservation does not automatically refund it. If you cancel a paid ticket yourself where self-service cancellation is offered, the refund follows the terms shown at that moment. Otherwise, contact us and a person will handle it. Refunds for events we cancel are returned to the original payment method.

Event capacity is finite and enforced. When an event sells out it is closed; there is no waitlist. Tickets may be transferred or gifted through the platform’s own gifting flow, and the recipient must claim the ticket in their own name so we know who is in the room.

The member directory and introductions

Members appear in a directory visible only to other members. You control what appears there, including whether your LinkedIn and Instagram links are shown, and you may opt out of the directory entirely from your profile settings.

You can ask us to introduce you to another member. Introductions are not automatic: a person on our team reviews each request, and the member you asked about decides whether to engage. We do not give out a member’s contact information without their action. If they choose to offer meeting times or to share their email, their details reach you at that point and not before. If they decline, you are not told, and repeated requests to members who have declined may be limited.

Conduct

Membership depends on how you treat other members. You agree not to:

  • use the directory or introductions to send unsolicited sales pitches, recruiting spam, or investment solicitations to members who did not ask for them;
  • export, scrape, resell, or republish member information, including names, photographs, employers, or contact details;
  • misrepresent your identity, employer, or role;
  • harass, threaten, or discriminate against another member or a guest at an event;
  • attempt to gain access to another member’s account, or to parts of the platform you are not entitled to use.

We may suspend or remove a member for conduct that damages the community, and we may do so without notice where the conduct is serious. Membership fees or ticket costs are not automatically refunded on removal for cause.

What members share with each other

Conversations, documents, and information shared inside member channels and at events are shared in confidence within the community. Treat them that way. Do not republish another member’s private business information, and assume that anything you post in a channel can be read by every member of that channel.

Our content and yours

The Civitas Prima name, crest, site design, and written materials belong to us. You keep ownership of what you write and upload, and you give us permission to display it on the platform for the purpose of running the community. Photographs taken at our events may be used to describe the community publicly; tell us if you would rather not appear.

Availability, and what we do not promise

We work to keep the platform running but do not guarantee uninterrupted access. The platform is provided as-is. We do not guarantee that any introduction will lead to a meeting, a deal, a job, or any particular outcome, and we do not vet the business claims members make about themselves. Nothing here is investment, legal, or tax advice, and a member who offers such advice does so on their own behalf, not ours.

To the fullest extent the law allows, our liability arising out of your membership or use of the platform is limited to the amount you paid us in the twelve months before the claim.

Ending your membership

You may leave at any time and may request deletion of your account from your profile settings; a person confirms the request by email. Some records are kept after deletion where we are required to keep them, for example payment records for tax and accounting purposes. The terms that by their nature survive, including conduct obligations regarding information you learned as a member, continue to apply.

Changes and contact

We may update these terms. Material changes will be communicated to members by email, and the date at the top of this page will change. Questions go to hello@civitasprimaoc.com. These terms are governed by the laws of the State of California.
